Zenith, First Banks in merger talks

Zenith, First Banks in merger talks

Another serious merger or acquisition is imminent in the Nigerian banking sector as Zenith Bank Plc and First Bank are said to be eyeing smaller banks in the industry to build their asset and capital bases.

Blueprint gathered from reliable sources within the industry that talks are currently ongoing between Zenith Bank and Union Bank, and a tentative arrangement may have been reached to commence due diligence.

While both banks are yet to confirm or deny the merger, the source revealed that talks have reached final stage, and that official statement may be issued any moment from now.

Recall that Nigeria’s oldest bank FirstBank was also on track to merge or acquire Polaris and Heritage Banks respectively. The bank issued a press release on the Nigerian stock exchange that did not deny the claims but also did not confirm if it is true.

Deals like these are typically not confirmed until the clearance is obtained from the Securities and Exchange Commission.

It is not immediately clear why both banks will be considering a merger, however, Union Bank owners Atlas Mara with a 49 per cent stake has been under pressure to exit their African holdings.

Last year (February), Atlas Mara co-founder Bob Diamond announced he was resigning his post as Chairman of the company. The company said it was looking at selling off banking assets in countries where it was not the dominant player.

Earlier in January, Union Bank sold its United Kingdom subsidiary to MBU Capital Limited. The London-based management investment firm acquired Union Bank UK after emerging as the most preferred bidder. According to the bank, “This sale is aligned with Union Bank’s strategy to geographically streamline its business operations to focus on growth opportunities in Nigeria.”

Union Bank also recently raised N20 billion in series 3&4 commercial paper after successfully raising N24.3 billion through the issuance of the Series 1 and 2 of its N100 billion commercial paper programme.

According to findings, a merger firmly solidifies Zenith Bank’s position as the largest bank by total assets after falling second to Access Bank with N7.1 trillion. It also gives Zenith Bank control over several juicy assets and right of ways owned by Union Bank from its legacy years.

In a notification that was sent to the Nigerian Stock Exchange (NSE), the banking group recorded a 10.3 per cent growth in profit. The profit before tax as of December 31, 2019, was N20.35 billion as against the N18.45 billion that was achieved for the corresponding period for 2018.

Zenith Bank, on the other hand, reported a record profit after tax N208 billion out of a gross earning of N662 billion. Zenith Bank’s net assets of N941.8 billion dwarfs Union Bank’s net assets of N252 billion as of 2019.

Lagos State Bans Religious Gathering Of Over 50 People

The Lagos State Government has banned all religious gathering of over 50 people within the state.
The decision was arrived at on Tuesday after a meeting of the Lagos State Government with religious bodies in the state, because of the increasing number of coronavirus cases in the country.
The religious bodies include the Christian Association of Nigeria (CAN) and Muslim leaders.
Reading a communique after the meeting held at the Bagauda Kaltho Press Centre, in Alausa, Ikeja, Lagos, the Commissioner for Home Affairs, Prince Anofiu Elegushi said the groups agreed that all large religious gathering of over 50 people should be suspended immediately.
He said the suspension would last for four weeks, with a necessary review carried out if need be.
Elegushi added that a committee had been set up to monitor the enforcement of the suspension to ensure that both Muslims and Christians in the state abide by the decision.
The 15-member committee comprises representatives of Muslims and Christians in the State.
Elegushi also said the meeting agreed that the state government should embark on massive sensitisation of people at the grassroots on the need to embrace proper hygiene.
He added that the meeting agreed that all health workers in the state should up their games in the battle against Coronavirus.
Elegushi stated that it was agreed that the Federal Government should shut down borders, especially land borders to checkmate the influx of foreigners into Lagos in order to prevent the spread of Coronavirus.
The commissioner said the state government would immediately embark on massive sensitisation of residents to be more aware of the danger posed by the coronavirus.
Elegushi appealed to Lagosians to desist from handshaking and to always wash their hands with soap and water or make use of sanitisers.
Chief Imam of Lagos State, Sheikh Oluwatoyin Abou-Nolla, said the action of the state government was commendable, urging all Muslim leaders to abide by the decision and to also make personal hygiene a priority.
The CAN Chairman, Apostle Alexander Bamgbola on the other hand, said the nation was at a critical point, stressing that since the outbreak of the coronavirus, Christians had been praying.
“We are at a critical moment in Nigeria, since we heard this, we have been praying. We have listened carefully to one another, particularly the government. The responsibility of every government is to protect the lives of the people,” he said.
“We must be proactive and take preventive measures. It is no longer the issue of religion but survival. We are going to accelerate the education of our people. We must listen to the instruction of the government and take the instruction seriously. We agree with the action of the government.

Kano: ‘I was informed of Ganduje’s plans to banish Sanusi to my state’ – Abdullahi Sule

Governor Abdullahi Sule of Nasarawa State has disclosed that he was informed of Ganduje plans to banish dethroned Emir Sanusi to his state
Sule disclosed that Ganduje sought his approval for Sanusi to be banished to Nasarawa State.
Recall that the Ganduje-led Kano State Government dethroned and banished Sanusi to Awe area of Nasarawa State.
But a Federal High Court in Abuja last week Friday ordered the former Emirs release after he was visited by the Kaduna State Governor, Nasir El-Rufai.
However, Governor Abdullahi Sule while addressing journalists in Lagos State yesterday explained that Sanusi was banished to Nasarawa State because the state was a border state between the North and Southern part of the country.
Sule said: “Immediately he was dethroned, the governor of Kano called me and said, we have just dethroned the Emir and we are thinking about relocating him to Nasarawa; If you will accept him. I said I will be more than happy to accept him.
“The message was all over the social media that Emir Sanusi II was dethroned.”
“I did not check because I was busy, but when the Kano Governor called, my aid brought the phone to me in a meeting. So as a senior governor and a second-term governor, and someone I respect, I stepped aside to answer his call.”
“The whole world knows they were having problems, but I did not know it will lead to this. When he told me the emir has been dethroned, I never said a word about it; whether it is good or bad or why. How can I say I will not accept Sanusi Lamido II, never.
“This is a global citizen, highly respected person. When I was the Managing Director of Dangote group, he was the Group Managing Director of First Bank.
“We operated as colleagues at the corporate level. When I became the Deputy Group Managing Director of Dangote, he was the CBN Governor. By the time I became the Group Managing Director of Dangote, he had become an Emir. So at all levels, we have cooperated.”

Omo-Agege, Silva, Akapabio, Eta shun Obaseki’s meeting

Omo-Agege, Silva, Akapabio, Eta shun Obaseki’s meeting

The political leader of South South zone, Deputy Senate President, Ovie Omo Agege; Minister of State Petroleum Timprey Silva; Minister of Niger Delta Senator Godswill Akapabio and National Vice Chairman, South South of the ruling All Progressives Congress (APC) Prince Hillard Eta have shunned the zonal consultative meeting convened by Edo State Governor, Godwin Obaseki.

The South South leaders, who are pro-Oshiomole, claimed that the convener of the meeting lacked constitutional power to call such zonal meeting.

Their absence at the meeting, which held Thursday night at Edo House, was reportedly due to opposition to Obaseki.

The National Vice Chairman, South South had on Wednesday declared the Obaseki convened meeting illegal and outside the armbit of the party’s constitution.

Eta, in a telephone interview, hinted that Obaseki has sent letters of invitation to leaders of the party in the zone, to attend a consultative meeting he planned for Thursday at Edo State Governor’s lodge in Abuja.

The APC leader said he gathered that the meeting was to discuss the issue of the National Chairman of the APC, Comrade Adams Oshiomhole, whom he vowed to ensure he is removed as chairman.

“I saw the invitation the governor is sending out to people inviting them for a meeting. But I am calling on all our party leaders to shun the meeting because he has no right to convene such meeting. I am the South South Vice Chairman of the party and any APC leadership meeting is convened by me.

“I have also communicated to our political leader in the zone, the Deputy Senate President, Senator Ovie Omo-Agege and he is not aware of any such meeting. So we are calling on all our leaders not to attend any such meeting because it is ill conceived and ill motivated,” he stated.

Aside from the South South leaders, it was also gathered that some invitees from Cross Rivers State that came for the meeting turned back when it became glaring that the decision may be influenced by a Minister who had majority of the attendees.

However the meeting pushed Acting National Secretary of the ruling All Progressives Congress (APC) Chief Victor Giadom to take over as acting national chairman of the party at the Emergency National Executive Committee meeting slated for Tuesday in Abuja.

Those in attendance at the meeting unanimously endorsed Giadom.

Justifying the choice of Giadom, Obaseki, in a communique after the meeting that lasted for hours, claimed he has provided the much needed leadership for the party since the on-going crisis of the party began.

The meeting also demanded that the party should respect the present zoning arrangement by retaining the chairmanship of the party in the South South zone, even in acting capacity.

It further resolved that the most senior party officer from the zone being the Acting National Secretary, Chief Victor Giadom, should be confirmed Acting National Chairman of the party at the Tuesday emergency NEC meeting.

Second coronavirus case may be discharged in few days – FG

Second coronavirus case may be discharged in few days – FG

The second confirmed case of COVID 19 in Nigeria may be discharged and allowed to go home in few days after testing negative to the virus, the Minister of Health, Dr. Osagie Ehanire, has stated.

He also said the index case is clinically stable and much improved.

He too may be discharged when the viral load is at acceptable limits, subject to the review of the doctor.
The Minister, who made these known in a briefing in Abuja on Friday, said: “As at today, 13th of March 2020, Nigeria has recorded still just two confirmed cases of COVID-19. One case is now negative and will be discharged from care, while the other will follow in a few days.

“The index case (the Italian) is clinically stable and is much improved. Steady progress till early next week will guide the medical team in discharging him. The second confirmed case, a contact of the index case is testing negative for the virus, meaning he has cleared the virus and will be allowed to go home.

“A group of four children and their teacher flew into Lagos from the United States. Prior to their arrival, Nigeria CDC was informed by US-CDC, that this group had been in the same space with a confirmed case. We therefore sent these travelers into isolation on their arrival.

“Tests were done, which came back negative for all of them. They will stay in self-isolation for 14 days. After 14 days of follow up with no symptoms, all contacts of the index case will be permitted to go home and rejoin society”.

He added: “WHO has now declared COVID-19 a pandemic. It calls for cooperation and collaborative action to increase resources to quickly detect and control this outbreak. It is not a call for fear and panic. COVID-19 cases in China have continued to decline, evidence that the pandemic can be controlled.

“The Federal Ministry of Health is monitoring the global situation closely and seeking WHO advice. The Ministry through Port Health Services will prioritize measures for the containment of COVID-19, especially the screening of passengers at Points of Entry.

“NCDC has launched a new website focused solely on COVID-19. It is updated daily and has information needed, including daily situation reports, guidance for schools, guidelines for health workers and more. The website is covid19.ncdc.gov.ng”.

The Minister added: “The multi-sectoral EOC (Emergency Operations Centre) continues to oversee national response activities. We have progressed in assessing treatment centres and have now ensured that every state identifies a location that can be used to manage cases. We are supporting these states to scale up capacity to meet existing needs
“On 12th of March, the Ministry of Foreign Affairs organised a meeting with Members of the Diplomatic Corps in Nigeria. We provided the Ambassadors and High Commissioners updates on Nigeria’s response strategy.

“We also called for solidarity and cooperation in responding to this pandemic and especially to urge their governments to introduce tighten health screening at their points of departure so as to reduce risk of virus exportation to other countries.”

On the point of entry policy on prevention and control of cross border transmission of yellow fever, Dr. Ehanire explained that due to ongoing transmission of Yellow Fever in parts of Nigeria, it is pertinent to activate Nigeria’s Point of Entry Policy on Prevention and Control of Cross Border Transmission of Yellow Fever in line with WHO recommendation for all international travelers (nine months and older), arriving in areas with evidence of persistent or periodic transmission of yellow fever.
The Minister said: “Consequently, the Federal Ministry of Health requested Nigerian Civil Aviation Authority (NCAA) to communicate this to airlines for compliance.

“Due to the COVID-19 outbreak, the Federal Ministry of Health reviewed the policy to allow passengers without Yellow Cards or proof of vaccinations board their flights to Nigeria, with the understanding that they will be given a Yellow Fever vaccination, on arrival at our Points of Entry.

“The vaccination is free of charge and the yellow card is at a nominal cost. This is in the interest of the health security of the public and all passengers. The effective date of the revised policy implementation was 11th March 2020. The revised policy was also communicated to NCAA for airlines to be so informed.

“WHO recently declared the COVID-19 outbreak a pandemic. The Ministry of Health, through Port Health Services has prioritised measures for COVID-19 containment, especially the screening of passengers at Points of Entry.

“However, other surveillance and prevention activities, including the implementation of the policy on prevention and control of cross border transmission of yellow fever, are still very important. Nigerians are required to obtain a yellow fever vaccination if they have not done so, and to show their yellow card or proof of vaccination before any international travel and upon arrival.

“The position of the Federal Ministry of Health is in line with global best practices and WHO recommendations”.

Kenya, Ghana, Gabon record first coronavirus cases

Kenya, Ghana, Gabon record first coronavirus cases

Kenya, Ghana, and Gabon, on Friday reported their first confirmed cases of infection with the new coronavirus.

In East Africa, Kenya reported one case on Friday, while in West Africa, Ghana reported two cases just as Gabon said it had logged one case.

This, however, raised the total number of African countries affected by the pandemic to 15.

According to Kenyan Health Minister, Mutahi Kagwe, the patient is a Kenyan citizen who had recently travelled to the U.S.

The Gabonese Health Ministry said that the infected person in Gabon was a national who had returned from a trip to Bordeaux, France on March 8.

The ministry added that Gabonese authorities were in the process of tracing all contacts the patient had since his arrival in the capital, Libreville.

According to the Ghanaian Health Ministry, both infected individuals returned from Norway and Turkey.

The Ghanaian Minister of Health, Kwaku Agyeman-Manu said that both patients were currently being kept in isolation and were stable.

“I wish to assure all Ghanaians that the Government of Ghana together with all health partners will continue to work assiduously to ensure the situation is contained,” he said.

Health Minister Eteni Longondo of Congo, reported the country’s second confirmed case of COVID-19, the respiratory disease caused by the new virus, involving a Cameroonian national who lives in the central African country, who travelled to France.

Congo has already had to contend with an outbreak of the Ebola haemorrhagic fever in its Eastern border region since mid-2018, though the last Ebola patient was discharged from a treatment centre in the city of Benin.

However, experts had considered Africa to be at high risk in relation to the coronavirus due the continent’s close economic ties with China where the disease outbreak originated in December 2019.

The continent’s outbreak has so far been limited compared with those in Asia or Europe.

Meanwhile, the World Health Organisation (WHO) recorded 129 cases of COVID-19 in 12 of Africa’s 54 countries, with three casualties in Northern Africa, compared to more than 125,000 confirmed cases globally.

Buhari’s home state Katsina, Northwest asked to set up Amotekun styled outfit

Buhari’s home state Katsina, Northwest asked to set up Amotekun styled outfit

Awareness for Good Leadership, Peace and Development (APGDA), has called on the Katsina Government and the Northwest region to establish an outfit similar to Amotekun to tackle insecurity.
Amotekun, the security outfit formed by Southwest governors, was initiated to support government security agencies in protecting the region.
APGDA President, Abdullahi Aliyu, gave the advice in a chat with journalists after he submitted a petition at the Katsina State Governor’s Lodge in Abuja.
Katsina is the home state of President Muhammadu Buhari.
He urged Governor Aminu Masari re-think his recent decisions and policies, including the suspension of activities of vigilante groups.
Aliyu warned that the decision would further expose the people to bandits’ attacks, NAN reports.
“Recent attacks on various communities in Katsina State exposed how vulnerable these people are as a result of banning activities of vigilante group nine months ago without introducing another measure”, he said.
“States such as Kaduna, Kano, Nasarawa, Niger, Adamawa, Plateau, Borno, South West, and South-Eastern states’ vigilantes and hunters are encouraged to support security personnel in tackling insecurity and insurgency.
“Nine months ago, retired generals, other senior military officers, elder statesmen, senior police officers and various stakeholders from Katsina State held a conference with a view to support the state government.
“Up till today, the state government has not received a report that has a combined input from senior citizens from the state.”
The group lamented that the dissolution of elected chairmen of 34 local governments in Katsina had affected the economy and security of over two million people.
APGDA further advised Masari to urgently meet the yearnings and aspirations of the people across the state.

BREAKING: ‘I accept my removal with sweetheart’ – Sanusi breaks silence
The dethroned Emir of Kano, Muhammadu Sanusi ii, has said that his removal is nothing new because every power is transient except that of God.
“The throne of an emir is not permanent, every king and leader should know this, If it were a permanent throne, I wouldn’t have been the emir of Kano”, Sanusi said in a video posted on his Facebook page.
He added, “Before I came, someone was the emir and before him someone else was there, therefore, it’s nothing that would shock anybody.”
Muhammadu Sanusi ii added that “Whenever God says your time on the throne is over, if you don’t leave with your legs, people will carry your body out of the palace.”
Sanusi insisted that the most important thing to a leader is a sound and peaceful end, “therefore I thank God that brings to me a peaceful end without any rancor or chaos”.
“We thank the prophets, Imans, those who have been behind us all this years. We call on the entire Umah to remain in peace.
“Any person who succeeds me should be accepted by the people of Kano so he can end well.
“God does not make a mistake, whatever he gives is the best, and today don’t be disturbed, whatever thing that God started, it is the end we hope for and may God help this to end well.
“We thank the entire Muslims who have been supporting us year by year, the entire people of Kano and may god help them to continue to live in people. May god give us a good leader and give our land back to us.
“We leave you people with sweetheart and thanks.”

Emir Sanusi’s Dethronement: Gov. Ganduje was lawless, abused power – HURIWA

Emir Sanusi’s Dethronement: Gov. Ganduje was lawless, abused power – HURIWA

The Human Rights Writers Association of Nigeria, HURIWA, has lambasted the Governor of Kano State, Abdullahi Ganduje for “hurriedly dethroning the powerful Emir of Kano, Muhammadu Sanusi despite pending litigation before a court of competent jurisdiction.
HURIWA, a prominent rights group stated that the action of the state government to unilaterally remove Sanusi without waiting for the matters instituted by the Emir to be determined was another manifestation of the disdainful way the All Progressives Congress, APC, looks at the judicial arm of government.
Recall that the state government had announced the immediate removal of Sanusi as the Emir of Kano.
The dethronement was disclosed by the State Secretary to the Government, Usman Alhaji, who stated that Sanusi was removed for his total disrespect for the lawful instructions of government and the lawful authorities.
However, HURIWA, in a statement by its spokesperson, Emmanuel Onwubiko dismissed the dethronement of the former Governor of the Central Bank of Nigeria, CBN, as “lawless and a primitive show of brute force.”
The rights group insisted that Sanusi’s removal was a “resort to crude self-help measures since the embattled Emir was already in the Kano state High Court challenging his invitation by the Kano state House of Assembly over so-called allegations of corruption.”
According to the rights group: “This action is an abuse of power and this will harm democracy in a big way unless overturned by the Court of law since the governor is in breach of the law to have decided to dethrone the Emir even as there is a matter over the same subject before the competent court of law.
“As someone who swore an oath of office not to undermine the Nigerian constitution, we urge the Kano state governor to immediately revoke the dethronement and let the matters in courts run their full courses.
“We in HURIWA hereby call on the Kano state governor Abdullahi Ganduje to reverse his illegal decision to dismiss the Emir of Kano and await the determination of the matter the traditional ruler filed before the competent court of law. The Kano state governor has benefitted so much from the court system.
“How come he is behind this indescribable affront against the judiciary? Section 6 is clear on the powers of the judiciary and whilst the matter is pending, it is illegal to seek to foist a fait accompli on the court.
“Section 6(1)(2)(3) of the constitution provides thus: “(1) The judicial powers of the Federation shall be vested in the courts to which this section relates, being courts established for the Federation. (2) The judicial powers of a State shall be vested in the courts to which this section relates, being courts established, subject as provided by this Constitution, for a State. (3) The courts to which this section relates, established by this Constitution for the Federation and for the States, specified in subsection (5) (a) to (1) of this section, shall be the only superior courts of record in Nigeria; and save as otherwise prescribed by the National Assembly or by the House of Assembly of a State, each court shall have all the powers of a superior court of record.”

Social media bill: CDD issues strong warning to Senate, makes fresh recommendations

As expectations continue to heighten over the public hearing on ‘The Protection from Internet Falsehoods and Manipulations Bill 2019 (SB 132)’ popularly referred to as the ‘Social Media Bill’, the Centre for Democracy and Development (CDD), has again stated that the attempt to gag the social media space will not be tolerated.
The center, while condemning in totality, the content of the bill, described the Senate’s move as an attempt to ensure that there is an amalgamation of power into the hands of a few individuals who would not only gag the media space but will as well ensure that only information they deem fit to be made public.
The CDD warns that in a democratic system as being operated in Nigeria, the government must not only police itself but also allow the people who have elected them into power the obligation to do the same.
In a statement forwarded to DAILY POST on Monday, signed by its Senior Communications Officer, Nnenna Igwe, the group said the ambiguous bill which targets the disabling of access by end-users, will block access orders and interfere with business operations of sprouting SMEs in Nigeria.
“Considering that Nigeria currently battling insecurity, access blocking orders could deter online intelligence gathering through both blocking internet access and possibly stimulating the development of an online information black market.
“Also, the bill provides for subjective judgment as to whether the transmission of false statements of fact is likely to incite feelings of enmity, hatred towards a person or ill-will between groups of persons,” the group added.
The center said while it appreciates the essence and use of social media among many Nigeria youths in educating, disseminating knowledge, keeping the citizens informed and shaping public discourse in Nigeria, “CDD can boldly say that the social media space has become a critical tool for shaping public discourse where many Nigerians seek to harness the positive impact of social media.”
CDD “urges the Senate to understand that social media is here to stay especially with over 29.3 million users across Nigeria.”
For this reason, CDD as one of Africa’s leading think tanks said it has made a list of recommendations that could be adopted by the Nigerian Senate to handle issues surrounding the use of social media in Nigeria.
Rejecting the bill in its entirety, the CDD, therefore, recommended that rather than stifle the rights of the Nigerian citizens, the Senate should retrace its steps closely to study these recommendations for possible adoption.
“In focusing on those who produce and distribute disinformation, the Bill represents a supply-side intervention. However, given the decentralized nature of disinformation’s production, a supply-side intervention amounts to cutting the head off a hydra. A robust response would consider interventions to bolster the end-user’s ability to critically engage with and judge the veracity of information. The demand for disinformation is driven by the psychology of news consumption and opinion formation
“The disconfirmation bias suggests that people are unlikely to accept information that conflicts with their pre-existing beliefs. Thus, correction notices are likely to be viewed as government-controlled media and may even reinforce beliefs that false stories are true. Rather than getting involved directly, the government should fund critical thinking and digital literacy training for both child and adult education.
“Such critical thinking training should explicitly address the biases that contribute to the demand for disinformation. Beyond national and state education ministries, the National Orientation Agency could seek to introduce awareness of and techniques to mitigate these biases into the national consciousness.
“Disinformation is inadvertently fueled by the algorithms that sort search results and the feeds or docking pages of many social media platforms. While the specific features that form the weights of the algorithms are typically unknown, it is evident that more popular posts or results are more likely to be prominently displayed. Unfortunately, fake news posts are often designed to “go viral” with the aim of appearing on as many people’s feeds as possible. But social media platforms and search engines may not have incentives to introduce adjustments to these algorithms on their own; popularity does drive engagement, and engagement is the core of their business models.
“Here the government can step in to mandate technical provisions for algorithms such that they mitigate “gaming”, that is, including certain features in posts to stoke virality regardless of veracity. There are also machine learning algorithms that, based on previous instances of news verified as false, predict the falsehood of a given statement with reasonable accuracy.
“This arena needs not, indeed should not, be the exclusive preserve of academics and technologists. Nigeria needs to invest in its technical capacity to understand and contribute to 21st-century technologies because those who spread disinformation are already doing so.
“In one of CDD’s key informant interviews on the issue of fake news, a senior member of the Nigeria Union of Journalists (NUJ) suggested accreditation of online content creators under their auspices. The official asserted that many of their extant processes for dealing with journalists could benefit online content creators without great modification, including training in norms of ethical journalism and peer-driven sanctions for breaking those norms. This arrangement would also enable the government to deal with the NUJ as the representative for online content creators.”

BREAKING: Aminu Ado Bayero emerges new Kano Emir after Sanusi’s sack
